Arizona requires newspaper publication after filing (unless your address is in Maricopa or Pima County). Publication is arranged and paid by you directly; we file the articles. Note also that since a May 2025 Corporation Commission policy, LLCs receive a periodic notice asking them to attest that the company still exists — it must be answered within 60 days or the Commission begins administrative dissolution. Arizona corporations do still file a true annual report.

How to start an LLC in Arizona, step by step

Six steps take you from an idea to an LLC that is formed and in good standing. The first three happen before Arizona approves anything; the last three start once you have the approved Articles of Organization.

1. Choose a name and check it's available

Your LLC's name must end with a designator such as "LLC", "L.L.C." or "Limited Liability Company", and it must be distinguishable from every other business already on Arizona's records. Words that suggest a regulated business, such as "bank" or "insurance", usually need extra approval.

2. Name a registered agent

Every Arizona LLC needs a registered agent: a person or company with a street address in Arizona who accepts lawsuits and state notices on the company's behalf during business hours. The agent's name and address go on the Articles of Organization and become public.

  • Can you be your own agent? A member or manager can serve as an individual (must be a permanent full-time AZ resident with an AZ street address). The LLC itself cannot.
  • Consent required. A Statutory Agent Acceptance (M002) or online ABC dashboard acceptance must exist before examination, or the Articles are rejected.

3. File the Articles of Organization

The Articles of Organization is the document that creates your LLC. Arizona takes it online at arizonabusinesscenter.azcc.gov, and the filing fee is $50. It asks for the company name, the registered agent, a mailing address, and the people forming the company. Whoever signs it as organizer does not have to be an owner, which is how filing services sign on your behalf.

What becomes public: Member-managed: name and address of every member. Manager-managed: name and address of every manager plus each member owning 20% or more. Organizer printed name and signature. All of this is public on the internet.

Once Arizona approves the filing, your LLC exists. Keep the approved Articles of Organization; banks ask for it.

4. Adopt an operating agreement

The operating agreement sets out who owns the LLC, how decisions get made, how profits are split, and what happens if an owner leaves. It is not filed with the state. Even a single-owner LLC benefits from one, because it shows the company is run as a separate business, and banks often ask for it.

5. Get an EIN from the IRS

An Employer Identification Number is your LLC's federal tax ID. Banks ask for it to open a business account, and you need it to hire employees. Apply directly with the IRS at irs.gov once Arizona has approved your LLC, so the name on the application matches the state record exactly. The IRS does not charge for it.

6. Meet Arizona's after-formation requirements

These are the filings and registrations Arizona expects after formation. Put each one on a calendar the day your LLC is approved.

  • Publication of notice of the Articles. When: within 60 days of approval; the ACC approval letter gives instructions. Cost: $0 if the statutory agent's street address is in Maricopa or Pima County (the ACC posts the notice on its website). Otherwise a newspaper in the county must publish it, at varying cost.
  • Annual report. When: none: AZ LLCs do not file annual reports. Cost: $0.
